Procesify.AI ("we", "us", "our") provides AI solution development services including but not limited to AI chatbots, custom GPT assistants, automation workflows, and AI tools ("Services"). By engaging our Services, you ("Client") agree to these Terms.
Upon full payment, all deliverables — including code, configurations, trained models, and documentation — become the exclusive property of the Client. We retain no ownership rights over completed work. Third-party API accounts (OpenAI, Make.com, etc.) remain governed by their respective providers' terms.
All pricing is one-time unless explicitly stated otherwise. Payment is due upon agreement before work begins. We accept bank transfer and other agreed-upon methods. Prices are in USD unless otherwise specified.
Estimated delivery timelines are provided at the start of each project. While we strive to meet all deadlines, timelines may vary based on project complexity and Client response times for required information and feedback.
The Client agrees to provide necessary access, data, and feedback in a timely manner. Delays in providing required materials may impact delivery timelines. The Client is responsible for maintaining their own third-party accounts (API keys, hosting, etc.).
Our one-time fee covers development and setup. Ongoing API usage costs (e.g., OpenAI API, cloud hosting) are paid directly by the Client to the respective providers. Typical costs range from $5-50/month depending on usage volume.
We warrant that all deliverables will function as described at the time of delivery. We provide 14 days of post-delivery bug fixes at no additional cost. Extended support or feature additions are available at additional cost.
Our total liability for any claim arising from our Services shall not exceed the amount paid by the Client for the specific Service in question. We are not liable for indirect, incidental, or consequential damages, including lost profits or data.
Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business data, technical specifications, and any materials provided for AI training or knowledge base creation.
Either party may terminate the engagement with written notice. If the Client terminates after work has begun, payment for completed work is non-refundable. We will deliver all completed work upon termination.
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through good-faith negotiation before pursuing other remedies.
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our Services constitutes acceptance of any changes.
